Rok’s Majority Acquisition Of Fun Little Movies: $1.375 Million Stock + Cash

Rok Entertainment, the U.K-based and now U.S. traded mobile TV provider, bought a majority (51 percent) stake of the mobile comedy video provider Fun Little Movies for a total of $1.375 million, almost all of which was in stock. The deal was announced in November last year but the amount was not released. Now in an SEC filing, the amount is listed: a total consideration of $800,000 payable over 24 months as ongoing working capital for the operation and stock options to purchase up to 125,000 shares of Rok’s common stock. The remaining amount payable of $700,000 is classified within accrued liabilities payable within one year and payable after more than one year. FLM specializes in comedy shorts and short movies for mobile…it was founded in 2004.

Other acquisitions:
— It bought 51 percent of mobile video compression firm Bluebox in June 2007: it was also stock, with 28,383 shares of common stock of Rok depending upon the performance of the business in the twelve month period to June 30, 2008.
— Also, in December last year, it bought a 51 percent controlling stake in British laptop manufacturer Rock. It was also bought with stock options to purchase up to 50,835 shares of common stock of Rok.
