CNET Networks 10Q filing with the SEC for 2Q05 sheds a little light on the company’s recent acquisitions. MetaCritic.com, announced Monday, was acquired on April 14, ten days after the Wind-Up Labs, LLC (HeyPix) purchase. The company added Collaborative Content, LLC (TVTome.com) in January. CNET lumps the purchases together in the 10Q; the aggregate cost was $11.3 million — 240,540 shares of CNET Networks common stock valued at $2.3 million, approximately $6.0 million in cash, and $3.0 million of notes payable. The notes are due in two years and acrue interest at the rate of 3 percent a year; they are included in CNET’s long-term debt figures.
Meanwhile, the sellers of Chinese network PCHome have an option to sell the remaining 10 percent to CNET on the second and third anniversaries. CNET still owes $6 million in deferred compensation on the 90 percent purchased for $10.9 million in April; that’s due by the end of the year.
